Terms and Conditions

Please read these Terms carefully before using the NirogMed platform. If you do not agree to these Terms, do not register for or use the platform.

1. General

These Terms and Conditions govern access to and use of the NirogMed platform by imaging centres, radiologists, doctors, patients, administrators, and other registered account holders.

The platform is operated by NorogMed, doing business under the NirogMed brand. NirogMed operates as a technology platform that facilitates scan upload, report workflow management, communication, payment processing, and access to independent reporting professionals. NirogMed is not a hospital, diagnostic centre, radiology practice, insurer, bank, or emergency medical service.

By registering for or using the platform, you confirm that you have read, understood, and agree to these Terms, the Privacy Policy, and any role-specific agreement applicable to your account.

2. Definitions

"Platform" means the NirogMed website, applications, APIs, dashboards, workflows, storage, viewer, marketplace, billing, notification, and related services.

"Radiology Centre" means any diagnostic centre, hospital, clinic, imaging provider, or authorized uploader using the platform to create or manage imaging jobs.

"Radiologist" means a medical professional registered on the platform to review imaging cases and submit reports.

"Job" means a scan reporting request created on the platform, including images, clinical history, priority, turnaround time, pricing, and assignment records.

"Report" means the diagnostic or clinical report prepared by a radiologist or other authorized reporting professional.

"Turnaround Time" means the report delivery period shown or agreed at the point of job acceptance or assignment.

"Platform Fee" means the fee charged by NirogMed for facilitating workflow, access, payments, storage, notifications, audit logs, and other platform services.

3. Eligibility, Registration, and Verification

Users must provide accurate, current, and complete registration information and must keep account information updated.

Radiologists must hold valid medical registration and professional credentials required under applicable law and professional regulations. NirogMed may request documents, identity verification, registration details, qualifications, digital signature records, bank details, and other onboarding information.

NirogMed may verify identity, registration documents, and platform eligibility. Such verification does not constitute clinical supervision, endorsement, warranty of competence, or guarantee of diagnostic accuracy.

NirogMed may reject, suspend, restrict, or terminate an account if information is false, incomplete, outdated, unverifiable, fraudulent, or inconsistent with platform safety requirements.

4. Patient Consent and Authority to Upload

Radiology Centres and other uploaders are solely responsible for ensuring that they have lawful authority and all required patient consent to upload, store, process, and share scans, clinical history, reports, contact details, and related health information through the platform.

Uploaders must ensure that uploaded data is accurate, clinically relevant, and limited to what is necessary for the requested report or service.

Where a patient account holder uploads their own records, the patient confirms that they are authorized to do so and that the information provided is accurate to the best of their knowledge.

NirogMed may process patient and health information for platform operation, report workflow, security, audit, payment, support, compliance, and other purposes described in the Privacy Policy.

5. Diagnostic Reports - Scope and Limitations

Reports generated through the platform are prepared by independent, affiliated, or contracted reporting professionals and are intended for clinical treatment and care-support purposes.

NirogMed does not itself interpret, modify, certify, or validate the clinical content, findings, impressions, conclusions, or recommendations contained in any report.

Clinical and diagnostic accuracy remains the professional responsibility of the reporting radiologist or reporting professional. Any medicolegal dispute concerning report content, interpretation, or conclusions should be addressed to the reporting professional and, where applicable, their employing or contracting institution.

Reports should not be treated as emergency medical advice. Users must seek immediate in-person medical care in urgent or life-threatening situations.

NirogMed does not certify reports for court, tribunal, insurance, regulatory, employment, or medicolegal use unless a report or service is expressly marked and verified for that purpose. NirogMed does not guarantee acceptance of reports by any court, tribunal, insurer, regulator, authority, or third party.

6. Radiologist Obligations

Radiologists must maintain valid registration, qualifications, professional standing, and authorization to provide reporting services in accordance with applicable Indian law, medical ethics, and professional guidelines.

Radiologists must accept only jobs that fall within their competence, registration, specialization, workload capacity, and available time.

Once a radiologist accepts and acknowledges a job, the radiologist commits to deliver the report within the applicable Turnaround Time unless prevented by a documented emergency, platform outage, incomplete study, missing clinical information, or other valid reason accepted under platform policy.

Radiologists must maintain patient confidentiality, protect access credentials, use secure systems, avoid unauthorized downloads or disclosures, and comply with applicable data protection and medical confidentiality obligations.

Radiologists must disclose conflicts of interest, suspected errors, image-quality limitations, missing sequences, urgent findings, and any matter that may materially affect patient care or report reliability.

Radiologists are encouraged and, where required by law or contract, may be required to maintain appropriate professional indemnity insurance.

7. Radiology Centre Obligations

Radiology Centres are responsible for lawful operation of their establishment, patient consent, scan acquisition, image quality, patient identification, clinical history, priority selection, and selection of reporting professional where the platform allows user selection.

The platform may show information such as price, rating, reviews, recent activity, modality interest, and turnaround time to assist selection. This information is workflow support only and is not a clinical endorsement or guarantee by NirogMed.

Selection of a radiologist by a Radiology Centre creates a direct professional reporting arrangement between the Radiology Centre and the radiologist, with NirogMed acting as facilitator, unless a separate written agreement states otherwise.

Radiology Centres must not upload unlawful, fraudulent, misleading, corrupted, duplicate, or clinically irrelevant data. They must promptly respond to queries about missing or inadequate scan information.

8. Delay, Reassignment, and Non-Delivery

Turnaround Time is material to patient care. Platform records, timestamps, acceptance logs, report submission logs, outage records, and communication records may be used to determine whether a job was delayed or not delivered.

Where a radiologist fails to deliver within the applicable Turnaround Time, NirogMed may warn the radiologist, reassign the job, temporarily restrict job acceptance, apply a delay charge, suspend the account, or terminate platform membership, depending on severity and recurrence.

Before applying any financial delay charge, NirogMed may consider factors such as platform downtime, incomplete images, delayed centre response, medical emergency, documented technical failure, force majeure, or other circumstances reasonably outside the radiologist's control.

Where a job is reassigned, the original Radiology Centre will generally not be charged more than the original listed job fee unless it expressly approves a higher fee through an open-market or escalation workflow.

If an automatic reassignment is available at or below 130% of the original listed job fee, the platform may reassign the job and the defaulting radiologist may be liable for the actual uplift, capped at 30% of the original listed fee, subject to dispute review.

If no suitable radiologist is available at or below 130% of the original listed fee, the platform may list the job in an open-market workflow. Any amount above the 130% cap will proceed only after Radiology Centre approval and will be payable by the Radiology Centre.

A radiologist who fails to deliver within the agreed timeframe may forfeit the job fee for that undelivered report. Any report submitted by the defaulting radiologist after reassignment may be rejected and may have no platform validity for that job unless NirogMed expressly accepts it for clinical or audit reasons.

Delay charges and fee forfeitures are intended as a reasonable allocation of reassignment cost, operational loss, and service disruption. They are not intended as punitive damages. Radiologists may raise a dispute through the designated support process within the period specified by platform policy.

9. Fees, Payments, Taxes, and Payouts

Users are responsible for reviewing applicable fees, taxes, payout terms, cancellation terms, and platform charges before creating or accepting a job.

Payments may be processed through third-party payment processors, banks, payment gateways, or settlement partners. NirogMed does not store full card numbers, net-banking credentials, UPI credentials, or other full banking credentials.

Users are responsible for correct bank, GST, PAN, tax, invoice, payout, and account details. NirogMed is not liable for failed or misdirected payments caused by incorrect user-provided information.

Applicable GST, TDS, withholding, platform fees, payment gateway fees, banking fees, chargebacks, refunds, penalties, or adjustments may be deducted or separately charged as permitted by law and platform policy.

NirogMed may withhold or adjust payouts where there is a suspected fraud, chargeback, duplicate transaction, clinical dispute, non-delivery, account verification issue, legal hold, or regulatory requirement.

10. Wallet, Credits, and Settlement

Where enabled, NirogMed may provide a wallet or settlement ledger to reduce repeated micropayments and record platform credits, refunds, adjustments, job earnings, penalties, and payout amounts.

Wallet units are accounting tokens used only inside the platform. Unless otherwise stated, 1 wallet token is treated as equivalent to INR 1 for platform settlement purposes.

Wallet tokens are not cash, deposits, securities, bank accounts, interest-bearing balances, prepaid payment instruments for general spending, or transferable currency. They may be used only for platform settlement, platform services, permitted adjustments, and payout claims under these Terms.

Users may request payout of eligible wallet tokens to their verified registered bank account, subject to KYC, bank verification, tax checks, minimum payout thresholds, risk review, dispute holds, payment partner limits, and applicable law.

NirogMed may batch wallet payouts to avoid repeated micropayments. Payout timelines, thresholds, banking fees, payment partner charges, tax deductions, and failed-transfer handling will be disclosed through the platform or applicable payout policy.

NirogMed may hold, offset, reverse, or adjust wallet tokens for refunds, chargebacks, non-delivery, delay charges, duplicate credits, suspected fraud, tax compliance, account verification issues, legal holds, or dispute resolution.

If a dormant account fee is enabled, NirogMed will notify the account holder at least 30 days before the fee starts. The fee will not create a negative balance or debt and will stop once activity resumes or the balance reaches zero.

If wallet rules need to change because of banking, RBI, tax, payment partner, or legal requirements, NirogMed may modify, suspend, migrate, or discontinue wallet functionality after reasonable notice where practicable.

11. Account Security and Confidentiality

Users must keep passwords, OTPs, wallet PINs, verification codes, authentication devices, registered email accounts, and registered mobile numbers secure and confidential.

NirogMed will never ask for a password, OTP, wallet PIN, or full banking credential over a call, message, or email.

Users are responsible for all activity performed from their account unless they report unauthorized access promptly and NirogMed determines that the activity was not caused by user negligence, credential sharing, or failure to secure the account.

Users must immediately notify NirogMed through the designated support channel if they suspect unauthorized access, fraud, credential compromise, or incorrect account activity.

12. Data Protection, Privacy, and Records

NirogMed processes personal data and health information in accordance with applicable Indian law, including the Digital Personal Data Protection Act, 2023, where applicable, and the NirogMed Privacy Policy.

Users must not upload data unless they have the necessary consent, authorization, contractual basis, or legal basis to do so.

NirogMed may use third-party processors for hosting, storage, image processing, payment processing, notifications, analytics, security, logging, and support, subject to confidentiality and data protection controls.

NirogMed will maintain audit logs and platform records for security, clinical workflow, billing, dispute resolution, compliance, and operational purposes, subject to retention rules in the Privacy Policy.

In the event of a platform-side personal data breach, NirogMed will take steps required by applicable law, including user and regulator notifications where legally required.

13. Intellectual Property and Use of Platform

NirogMed owns or licenses the platform, software, workflows, user interface, trademarks, documentation, and related intellectual property.

Users retain rights in their own uploaded content, subject to the license granted to NirogMed to host, process, transmit, display, store, secure, audit, and otherwise use such content to provide the platform and comply with law.

Users must not reverse engineer, scrape, copy, tamper with, overload, bypass security controls, misuse APIs, introduce malware, or use the platform for unlawful or unauthorized purposes.

14. Suspension and Termination

NirogMed may suspend, restrict, or terminate access where there is suspected fraud, credential misuse, patient safety risk, professional misconduct, non-payment, repeated delay, breach of confidentiality, violation of law, or breach of these Terms.

NirogMed may preserve or restrict access to records after termination where required for legal, audit, clinical, billing, security, or dispute-resolution purposes.

Users remain responsible for obligations incurred before suspension or termination.

15. Disputes, Review, and Support

Users should first raise operational, payment, delay, report, or account disputes through the designated NirogMed support channel.

NirogMed may review platform logs, communication records, upload records, report records, payment records, and other relevant information when resolving disputes.

NirogMed may reverse, reduce, hold, or adjust platform charges, delay charges, wallet entries, or payouts where the dispute review supports such action.

16. Disclaimers

The platform is provided on an "as is" and "as available" basis, subject to applicable law.

NirogMed does not guarantee uninterrupted availability, error-free operation, acceptance of reports by third parties, specific clinical outcomes, or availability of any specific radiologist, centre, doctor, patient, job, report, or payment method.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, NirogMed's aggregate liability for any claim arising from use of the platform shall not exceed the amount paid by the claimant to NirogMed for the specific service giving rise to the claim during the three months preceding the claim.

NirogMed shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, reputational loss, or third-party claims, except where such exclusion is not permitted by law.

18. Indemnity

Users agree to indemnify and hold harmless NirogMed, its directors, officers, employees, contractors, and affiliates from claims, losses, penalties, costs, and expenses arising from their breach of these Terms, unlawful upload or disclosure of data, professional negligence, incorrect information, payment disputes, credential misuse, or violation of applicable law.

19. Force Majeure

NirogMed will not be liable for delay or failure caused by events beyond reasonable control, including network outages, cloud provider failures, payment network failures, cyber incidents, natural disasters, strikes, war, government restrictions, regulatory action, or other force majeure events.

20. Amendments

NirogMed may amend these Terms from time to time. Material changes will be notified through registered email, in-platform notice, or other reasonable means.

Continued use of the platform after notice of changes constitutes acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to any mandatory consumer, patient, data protection, or statutory forum rights that cannot be excluded, disputes shall be subject to the exclusive jurisdiction of the courts at Chandigarh, India.
